Terms of Service

1. Acceptance of Terms

By accessing or using Vibing ("the Service"), operated by Agentic Digital, Lda. ("Company", "we", "us", "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.

By creating an account, accessing the platform, or using any part of the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms, as well as our Privacy Policy, which is incorporated herein by reference.

If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms, and references to "you" or "your" shall include that organization.

2. Description of Service

Vibing is an AI development orchestration platform that enables users to manage, coordinate, and monitor AI coding agents working across their software projects. The Service provides tools for task orchestration, specification management, output validation, and integration with third-party development tools and AI providers.

The Service acts as an orchestration layer and does not itself generate code. Code generation is performed by third-party AI coding agents that you configure and connect through your own accounts and API keys.

3. Beta Service

The Service may be offered in beta or early access form. Beta features are provided for evaluation purposes and may be modified, suspended, or discontinued at any time without notice. Beta features may contain bugs, errors, or inaccuracies and are not guaranteed to function as described. Your use of beta features is at your own risk.

We may limit the number of users, features, or usage during beta periods. We reserve the right to reset data, accounts, or configurations during the beta phase as necessary for the development and improvement of the Service.

4. Account Registration

To use the Service, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Maintain the security and confidentiality of your login credentials
• Accept responsibility for all activities that occur under your account
• Notify us immediately of any unauthorized use of your account

You must be at least 18 years of age to create an account and use the Service. We reserve the right to suspend or terminate accounts that violate these Terms or that have been inactive for an extended period.

5. API Keys and Third-Party Credentials

The Service may require you to provide API keys, access tokens, or other credentials for third-party services, including AI providers and developer tools. You acknowledge and agree that:

• You are solely responsible for obtaining, managing, and securing your own API keys and credentials
• You will comply with the terms of service and usage policies of all third-party providers whose API keys you use with the Service
• You are responsible for all costs, charges, and fees incurred through the use of your API keys, including any usage by the Service on your behalf
• We are not responsible for any unauthorized use of your API keys, whether through the Service or otherwise
• You will not share your API keys with unauthorized parties or use API keys that you are not authorized to use

We implement reasonable security measures to protect credentials stored within the Service, but we cannot guarantee absolute security. You should regularly rotate your API keys and monitor usage through your third-party provider dashboards.

6. Third-Party Services and Integrations

6.1 AI Coding Agents

The Service integrates with third-party AI coding agents and providers. Vibing is not affiliated with, endorsed by, or sponsored by Anthropic PBC, Google LLC, Anysphere Inc. (Cursor), Exafunction Inc. (Windsurf), or any other third-party AI provider. All third-party product names, logos, and brands are property of their respective owners and are used for identification purposes only.

Your use of third-party AI coding agents through the Service is subject to the respective terms of service and policies of those providers. We do not control and are not responsible for the outputs, availability, performance, or conduct of any third-party AI coding agents.

6.2 Developer Tool Integrations

The Service may integrate with third-party developer tools, version control systems, project management platforms, and other software development services. These integrations are provided for convenience and are subject to the terms and availability of the respective third-party services.

We are not responsible for any changes, outages, or discontinuations of third-party services that may affect the functionality of the Service. We do not guarantee that integrations will remain available or function without interruption.

7. Acceptable Use

You agree not to use the Service to:

• Violate any applicable laws, regulations, or third-party rights
• Generate, distribute, or facilitate the creation of malware, viruses, or other malicious code
• Attempt to gain unauthorized access to the Service, other accounts, or connected systems
• Interfere with or disrupt the integrity or performance of the Service
• Reverse engineer, decompile, or disassemble any portion of the Service
• Use the Service to build a competing product or service
• Resell, sublicense, or redistribute access to the Service without our written consent
• Circumvent any usage limits, rate limits, or access controls
• Use the Service in any manner that could damage, disable, overburden, or impair the Service
• Upload or transmit content that is unlawful, harmful, threatening, abusive, defamatory, or otherwise objectionable

We reserve the right to investigate and take appropriate action against anyone who, in our sole discretion, violates this provision, including removing content, suspending or terminating accounts, and reporting to law enforcement authorities.

8. Intellectual Property

8.1 Platform

The Service, including its original content, features, functionality, design, and underlying technology, is and will remain the exclusive property of Agentic Digital, Lda. and its licensors. The Service is protected by copyright, trademark, trade secret, and other intellectual property laws. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of Agentic Digital, Lda.

8.2 Your Content

You retain all rights to the code, specifications, project data, and other content that you input into or create using the Service ("Your Content"). By using the Service, you grant us a limited, non-exclusive, worldwide license to use, process, and store Your Content solely for the purpose of providing and improving the Service to you.

You represent and warrant that you have all necessary rights to Your Content and that Your Content does not infringe the intellectual property rights of any third party.

8.3 AI-Generated Code

Code and other outputs generated by third-party AI coding agents through the Service are subject to the intellectual property terms of the respective AI providers. We do not claim ownership of AI-generated outputs. You are responsible for reviewing and understanding the intellectual property terms of the AI providers you use through the Service and for ensuring that your use of AI-generated outputs complies with those terms and all applicable laws.

8.4 No Training

Vibing does not use Your Content, your project data, or your API interactions to train any AI models. Your data is used solely to provide the Service to you and is not shared with third parties for model training purposes.

9. Payment and Subscription

Certain features of the Service may require a paid subscription. If you choose to subscribe to a paid plan:

• You agree to pay all fees associated with your selected plan
• Fees are billed in advance on a recurring basis (monthly or annually, depending on your plan)
• All fees are non-refundable except as expressly provided in these Terms or required by applicable law
• We may change our pricing with reasonable notice; continued use of the Service after a price change constitutes acceptance of the new pricing
• You are responsible for providing accurate and current billing information
• Failure to pay may result in suspension or termination of your access to paid features

During any beta or free trial period, access to certain features may be provided at no cost. We reserve the right to begin charging for features that were previously free upon reasonable notice.

10. Disclaimers and Limitation of Liability

10.1 No Warranty

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." AGENTIC DIGITAL, LDA. AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, AND LICENSORS EXPRESSLY DISCLAIM ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE MAKE NO WARRANTY THAT THE SERVICE WILL MEET YOUR REQUIREMENTS, BE AVAILABLE ON AN UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE BASIS, OR THAT THE RESULTS OBTAINED FROM THE USE OF THE SERVICE WILL BE ACCURATE, RELIABLE, OR COMPLETE. NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED FROM US OR THROUGH THE SERVICE, SHALL CREATE ANY WARRANTY NOT EXPRESSLY MADE HEREIN.

10.2 Validation Disclaimer

References to output validation within the Service mean that Vibing facilitates a structured comparison of AI outputs against user-defined specifications. Such validation is automated and does not constitute a guarantee that generated code will function as intended, be free from security vulnerabilities, or satisfy any particular standard.

You are solely responsible for testing, reviewing, and validating all code and outputs before deploying them to any environment. Vibing is not a substitute for professional code review, security auditing, or quality assurance processes.

10.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL AGENTIC DIGITAL, LDA., ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (I) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE; (II) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE, INCLUDING AI-GENERATED OUTPUTS; (III) ANY CONTENT OBTAINED FROM THE SERVICE; (IV) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT; OR (V) ANY OTHER MATTER RELATING TO THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY, WHETHER OR NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE.

OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU HAVE PAID TO US IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED EUROS (EUR 100).

11. Indemnification

You agree to defend, indemnify, and hold harmless Agentic Digital, Lda., its affiliates, officers, directors, employees, agents, suppliers, and licensors from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney's fees) arising from:

• Your use of and access to the Service
• Your violation of any term of these Terms
• Your violation of any third-party right, including without limitation any intellectual property, privacy, or proprietary right
• Any claim that Your Content caused damage to a third party
• Your use of AI-generated code or outputs obtained through the Service
• Your use of third-party API keys or credentials through the Service

This defense and indemnification obligation will survive the termination of these Terms and your use of the Service.

12. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms.

You may terminate your account at any time by contacting us or through the account settings in the Service. Upon termination:

• Your right to use the Service will immediately cease
• We may delete your account data, including Your Content, after a reasonable retention period
• Any outstanding payment obligations will remain due
• Provisions of these Terms that by their nature should survive termination shall survive, including but not limited to ownership provisions, warranty disclaimers, indemnification, and limitations of liability

We will make reasonable efforts to provide you with an opportunity to export Your Content prior to deletion, but we are not obligated to maintain or provide any of Your Content after termination.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Portugal, without regard to its conflict of law provisions. Any disputes arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of Portugal.

If you are a consumer in the European Union, you may also be entitled to bring proceedings in the courts of the member state in which you are domiciled, and nothing in these Terms shall affect your rights as a consumer under applicable EU consumer protection legislation.

14. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least thirty (30) days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, in whole or in part, please stop using the Service.

We will notify you of changes by posting the updated Terms on this page and updating the "Last updated" date. For significant changes, we may also notify you by email or through a notice within the Service.

15. General Provisions

15.1 Entire Agreement

These Terms, together with the Privacy Policy and any other legal notices or policies published by us on the Service, constitute the entire agreement between you and Agentic Digital, Lda. regarding the use of the Service.

15.2 Severability

If any provision of these Terms is held to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions of these Terms will remain in full force and effect. The invalid or unenforceable provision will be modified to the minimum extent necessary to make it valid and enforceable.

15.3 Waiver

The failure of the Company to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision. Any waiver of any provision of these Terms will be effective only if in writing and signed by the Company.

15.4 Assignment

You may not assign or transfer these Terms, by operation of law or otherwise, without our prior written consent. Any attempt by you to assign or transfer these Terms without such consent will be null and void. We may freely assign or transfer these Terms without restriction.

15.5 Force Majeure

We shall not be liable for any failure or delay in performing our obligations under these Terms where such failure or delay results from circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.

15.6 Notices

Any notices or other communications provided by us under these Terms will be given by posting to the Service or by email to the address associated with your account. You are responsible for keeping your contact information current.
